TERMS AND CONDITIONS
SCOPE OF WORK
The Event Manager agrees and undertakes to perform the scope of work which is more particularly described as Schedule A to the present Agreement.
USE OF YOUR INFORMATION
- The total consideration as agreed between the Event Manager and the Client in respect of the Scope of Work as set out
- 50% of the said amount shall be paid by the Client to the Event Manager upon the execution of the present Agreement, receipt whereof the Event Manager acknowledges hereunder. (We can add the mode of payment if you like)
- The balance 50% shall be paid by the Client to the Event Manager one day prior to the last function of the said event.
- If the Client fails to comply with Clause 2(c) hereinabove, the Event Manager shall be entitled to retain the initial payment made under Clause 2(b).
- If the Event Manager incurs any additional expenditure over and above the agreed consideration, the Event Manager shall seek an approval for the same from the Client and if approved, the Client shall make the payment of the additional sum along with the balance 50% consideration one day prior to the last function of the said event.
CANCELLATION POLICY
- The Event Manager represents that the Event Manager shall endeavour to perform all its obligations under the scope of work in the best possible manner and as per the industry standards.
- If the Event Manager is unable to perform his duties under the Agreement for any reasons beyond the control of the Event Manager, then the Event Manager and Client shall mutually agree on a fresh Schedule for conducting the said event and the scope of work shall continue for the new proposed schedule. However, in the event the Client is not desirous for rescheduling the said event, then the Event Manager shall be entitled to retain the said payment made under Clause 2(b) unless otherwise agreed between the parties.
REPRESENTATIONS BY THE EVENT MANAGER
The Event Manager represents that the Event Manager shall endeavour to perform all its obligations under the scope of work in the best possible manner and as per the industry standards.
INDEMNIFICATION
The parties hereto indemnify each other in respect of any claim for damage, loss, compensation that may arise during the event, which is not attributable to the conduct of the said party under the present Agreement.
The Event Manager shall be entitled to use and/or to utilize the photographs/videos of the said event for its promotion and/or marketing.
TERMINATION
The Client shall not be entitled to this Agreement any time after the execution of unless otherwise agreed between the parties.
SPECIFIC PERFORMANCE
The parties hereto entitled to specifically perform the present Agreement.
SEVERABILITY
Should any portion of this Agreement be judicially determined to be illegal or unenforceable, the remainder of the Agreement shall continue to operate in full force and effect and either party may renegotiate the terms affected by the severance.
ENTIRE AGREEMENT
This Agreement consisting of ____ pages including the scope of work set out in Schedule I represents the entire and integrated Agreement between the parties herein and supersedes all prior negotiations and representations, whether oral or written between the respective parties.
